A Georgia registered agent must have a physical street address in Georgia where an individual can be located in person for service. The agent may be an eligible individual resident or authorized business entity, and the name/address are public in the eCorp record. The registered agent and office can be updated in an annual or amended annual registration. A P.O. box alone is inadequate.
Georgia agent changes: forms and fees
Georgia permits agent and registered-office changes through annual registration or amended annual registration. The current amended annual registration total is $30.00 online or paper; a regular annual registration is $60.00. Resignation, notice, and effective dates
Georgia registered-agent resignation is listed as no-fee online or $10.00 paper under the current fee schedule. The agent must file the resignation and provide the statutory notice/effective-date information; resignation does not appoint a successor. The entity must appoint a compliant Georgia agent and office promptly or face failed service and administrative action.
Consequences of a missing agent or address
Without a Georgia registered agent and physical Georgia service address, an entity can miss process, default in litigation, be revoked or administratively dissolved, and lose good-standing status. The Secretary may accept service in limited statutory circumstances for a $10.00 service-of-process fee, but substitute service does not cure the continuing appointment duty or protect against missed notices.
Confirm the change reached the public record
Keep the accepted filing and confirm the agent or service address shown for the business. Arrange forwarding of legal notices during the change, and check which contact information will be public before supplying a home address.
