Domestic corporation filing fee
The official 2026 fee chart lists $230 for a domestic business corporation initial registration. The amount is a Department of State filing fee and does not include Rhode Island's separate $400 minimum annual tax for for-profit entities.
Registering a company formed elsewhere
For state registration, “foreign” can mean a company formed in another U.S. state. These fees are separate from creating a new Rhode Island entity.
Foreign LLC qualification
A foreign LLC's initial Rhode Island Department of State registration fee is $150. The applicant supplies existence/authority information, a Rhode Island registered agent and street office, and the required foreign registration form; tax and licensing costs are separate.
Foreign corporation qualification
