Pennsylvania requires a registered office or commercial registered office provider capable of receiving process. The provider/office is public; a P.O. box alone is inadequate. The agent/provider must remain current and available for service.
Pennsylvania agent changes: forms and fees
Pennsylvania registered-office/provider changes use the Department's online amendment/update workflow and current fee schedule. Use https://www.pa.gov/agencies/dos/programs/business; the replacement provider must qualify and consent.
Resignation, notice, and effective dates
Resignation follows the Pennsylvania entity statute and Department form, including notice and effective-date rules; the current fee is route-specific. Resignation does not appoint a successor, so the entity must promptly maintain a registered office/provider.
Consequences of a missing agent or address
Without a Pennsylvania registered office/provider, an entity can miss process, suffer default judgments, lose good standing, and face termination or dissolution. Substitute service does not replace the continuing appointment duty.
Confirm the change reached the public record
Keep the accepted filing and confirm the agent or service address shown for the business. Arrange forwarding of legal notices during the change, and check which contact information will be public before supplying a home address.
