What to capture from a public search

For a vendor review, closing checklist, lender package, or internal compliance file, save more than the name. Capture the entity ID, exact legal name, domestic or foreign designation, formation or qualification date, current status, registered agent, registered office, principal office, expiration date, and the most recent filing or report.

If the portal offers document images, download the charter, amendments, mergers, conversions, reinstatements, and latest annual report that matter to the transaction. A short screenshot may show a status, but it may not prove the terms of the governing document or the date a change became effective.

Search result versus certificate

A public result is useful for orientation and monitoring. A certificate of status, existence, or good standing is a formal agency document used when a third party needs current evidence. If the recipient asks for a “certified copy,” it is asking for the filed instrument—not merely a good-standing certificate.

Portal caution

State systems may use exact-match logic, partial-name searches, control numbers, registered-agent searches, or filters that change depending on whether you are searching active, inactive, domestic, or foreign entities. Read the portal’s own instructions and test the legal name before concluding that no record exists.
