A Missouri registered agent may be an individual resident whose business office is identical to the entity's registered office, or a corporation authorized to transact business in Missouri with that identical office. A mailing service or UPS Store cannot be used merely as a mailing address unless it satisfies the statutory office and service requirements. Agent and office data are public and must remain current.
Missouri agent changes: forms and fees
Missouri Statement of Change of Registered Agent or Registered Office uses Corp. 59/59A or the LLC equivalent; the current schedule lists $5.00 for the LLC registered-office/agent statement and $10.00 for many corporate changes. Use https://www.sos.mo.gov/business/corporations/forms and Business Filings. The replacement agent must consent, qualify, and maintain the required identical office.
Resignation, notice, and effective dates
Missouri LLC Statement of Resignation of Registered Agent uses LLC 6 and corporate resignation generally costs $10.00 under the current fee schedule. The agent must follow the statutory notice and effective-date procedure; resignation does not appoint a successor. The entity must promptly designate a qualifying Missouri agent or face failed service, annual-report problems, and dissolution/revocation.
Consequences of a missing agent or address
Missouri allows statutory service on the Secretary as resident agent for an LLC in limited circumstances and lists a $20.00 service fee, but an entity still must maintain its own qualified agent and office. Failure can cause missed process, default judgments, loss of good standing, administrative dissolution or revocation, and reinstatement expense.
Confirm the change reached the public record
Keep the accepted filing and confirm the agent or service address shown for the business. Arrange forwarding of legal notices during the change, and check which contact information will be public before supplying a home address.
