Minnesota entities must maintain a registered office and agent capable of receiving process. The agent may be a qualified individual or authorized business entity with a Minnesota physical address; the name and address are public. A P.O. box alone is inadequate. The appointment must remain current through the entity's renewal and all service notices.
Minnesota agent changes: forms and fees
Minnesota Change of Registered Office and Agent costs $35.00 by mail or $55.00 in person/online under the current schedule. Use https://www.sos.mn.gov/business-liens/business-forms-fees/ and the entity portal. The replacement agent must qualify and consent, and the filing should be accepted before redirecting service.
Resignation, notice, and effective dates
Minnesota domestic business-corporation resignation of agent costs $35.00 by mail or $55.00 in person/online; LLC resignation pricing is entity-specific in the Chapter 322C form. The resigning agent must follow statutory notice and effective-date rules and does not appoint a successor. The entity must promptly restore a qualified Minnesota agent and office.
Consequences of a missing agent or address
An entity without a Minnesota registered agent or office can miss process, receive default judgments, lose good standing, be administratively dissolved or revoked, and incur renewal and reinstatement charges. Limited substitute service does not replace the continuing appointment duty or guarantee notice.
Confirm the change reached the public record
Keep the accepted filing and confirm the agent or service address shown for the business. Arrange forwarding of legal notices during the change, and check which contact information will be public before supplying a home address.
