Michigan requires a resident agent and resident office for domestic and foreign entities. The agent must be an eligible individual or authorized entity with a Michigan street address for service; LARA states that a business cannot serve as its own resident agent. Agent and office information are public and must remain current.
Michigan agent changes: forms and fees
Michigan Certificate of Change of Registered Office/Resident Agent form 520 costs $5.00. Use https://www.michigan.gov/lara/bureau-list/cscl/corps/forms/limited-liability-company-forms or the MiBRP entity record. The replacement must qualify and consent, and the filing should be accepted before relying on the new address.
Resignation, notice, and effective dates
Michigan form 521, Resignation of Resident Agent, carries no fee in the current LARA fee schedule. The resigning agent must follow the statutory notice and effective-date process; resignation does not appoint a successor. The entity must promptly appoint a replacement to prevent failed service, loss of good standing, and dissolution or revocation.
Consequences of a missing agent or address
Without a Michigan resident agent or office, an entity can miss process, suffer default judgments, lose good standing, face dissolution or revocation, and incur annual-report and restoration penalties. Any substitute service process is limited and does not replace the continuing agent requirement.
Confirm the change reached the public record
Keep the accepted filing and confirm the agent or service address shown for the business. Arrange forwarding of legal notices during the change, and check which contact information will be public before supplying a home address.
