A Kentucky registered agent must maintain a Kentucky registered office and be an eligible individual resident or authorized business entity capable of receiving service. The name and street address are public. The office cannot be only a P.O. box, and the agent should be available for process during ordinary business hours. A commercial registered agent can serve multiple entities but must remain authorized and current.
Kentucky agent changes: forms and fees
Kentucky Statement of Change of Registered Agent or Registered Office costs $10.00. Use FastTrack and the Business Filings forms at https://www.sos.ky.gov/bus/business-filings/Pages/default.aspx; the new agent must qualify and consent. The filing can update the agent, office, or both and should be accepted before relying on the new service address.
Resignation, notice, and effective dates
Kentucky permits a registered agent to resign through the statutory change/resignation filing and required notice process. The current schedule lists ordinary agent or registered-office change at $10.00; the live form should confirm whether a resignation alone uses that fee. Resignation does not appoint a successor, and the entity must maintain a Kentucky agent to avoid bad standing, failed service, and administrative action.
Consequences of a missing agent or address
A Kentucky entity without a valid agent or office can miss process, suffer default judgments, lose good standing, have a domestic charter administratively dissolved or foreign authority revoked, and incur reinstatement fees and tax exposure. Any statutory substitute-service method is limited and does not cure the continuing appointment requirement.
Confirm the change reached the public record
Keep the accepted filing and confirm the agent or service address shown for the business. Arrange forwarding of legal notices during the change, and check which contact information will be public before supplying a home address.
