$125.00 mandatory total for a new Florida LLC: $100.00 filing fee plus $25.00 registered-agent designation. An optional certified copy is $30.00 and optional Certificate of Status is $5.00. An optional certified copy is $8.75 and optional Certificate of Status is $8.75. The standard fee is not presented as varying with authorized shares, although the articles must state the capital structure.

Standard turnaround

Sunbiz online filings generally process faster than paper filings and provide an electronic confirmation/record when accepted. The reviewed fee pages do not promise one universal formation SLA. Paper filings are subject to Division queue time and mailing; acceptance and the displayed document image are the controlling evidence.

Recurring maintenanceLLC: Florida LLC annual reports are due by May 1. The regular annual report total is $138.75, including the supplemental fee; a report received after May 1 costs $538.75. An amended annual report is $50.00. Florida LLCs do not use a separate corporate franchise tax, but missing the report can administratively dissolve the entity and the supplemental fees are not optional.
Corporation: Florida profit corporations file annual reports by May 1 for $150.00 including the supplemental fee; a report received after May 1 costs $550.00. Nonprofit annual report is $61.25. Amended profit annual report is $61.25. The fee is a state annual-report charge rather than an authorized-share franchise-tax calculation.
Registered agentFlorida requires a registered agent with a Florida street address where service can be delivered during normal business hours. An individual resident or eligible Florida-authorized business entity may serve; the agent must consent and remain reachable. The registered-agent name and address are public on Sunbiz. A P.O. box alone is insufficient, and commercial agents must maintain their statutory status.

Formation is the beginning, not the compliance plan

The cheapest formation route is not always the simplest operating route. Before filing, confirm the name standard, statutory agent requirements, authorized-share or member information, local licensing, tax registrations, and any professional-entity restrictions that apply to the planned activity.

After formation, calendar the first report or statement immediately. A newly created entity may have a first-year exception, an anniversary-month due date, a quarterly filing window, or a separate tax obligation. Treat the agency record, revenue department account, and local license file as related—but separate—workstreams.

How to use the official record responsibly

Save the entity ID, legal name, status, registered agent and office, formation or qualification date, and the most recent filed document. When a third party asks for “proof,” ask whether it needs a current certificate, certified charter, tax clearance, apostille, or a plain search result. Those are different documents with different evidentiary value.
